These Terms & Conditions govern all quotations, sales, and services provided by EUCA Technologies (Pty) Ltd. Acceptance of any proposal/quotation or engagement of our services implies agreement to the terms set out below.

1. Proposal and Contract Formation

  • All quotations are valid for 7 calendar days from the issue date, unless otherwise specified in writing.
  • A contract is formed upon written acceptance of the quotation or via digital acceptance through our quotation platform.
  • Any agreed variation must be confirmed by EUCA in writing. Absence of objection within 7 days constitutes acceptance.
  • Where no formal quotation has been issued, an order confirmation serves as contract initiation under these terms.

2. Scope of Supply

  • All goods are subject to availability and prior sale.
  • Goods and services are supplied as described in the official proposal/quotation.
  • We reserve the right to substitute components or products with equivalent or superior specifications, at no additional cost.

3. Pricing and Payment Terms

  • All prices are exclusive of VAT, delivery, packaging, insurance, import duties, and other applicable charges unless explicitly stated.
  • Installation pricing is fixed unless marked 'subject to survey'. Final pricing may be adjusted to reflect actual work required.
  • Additional charges apply for delays, site issues, corrective work, or provision of resources not originally included in the scope.
  • Unless otherwise agreed, all orders are on a Cash on Delivery (COD) basis. Credit terms may be extended subject to approval.

4. Returns and Order Cancellations

  • Standard items may be returned within 7 days of receipt, subject to prior written approval and a 15% restocking fee (minimum R500).
  • All returns must be authorised in advance with a valid RMA number. Return shipping is at the client’s expense.
  • Custom or special-order items are non-returnable and cannot be cancelled once confirmed.

5. Delivery and Risk Transfer

  • Estimated delivery timelines are provided on order confirmation. Timelines are indicative and not contractually binding.
  • EUCA is not liable for delays caused by third parties, import constraints, or force majeure events.
  • Risk transfers to the client upon dispatch. It is the client’s responsibility to ensure appropriate transit insurance.
  • Claims for damaged goods must be submitted within 7 days of receipt. Short delivery claims must be submitted within 2 days.

6. Warranty and Repairs

  • Goods are covered by standard manufacturer warranties, unless otherwise specified.
  • Consumables and limited-life items (e.g. batteries, desiccants, relays) are only warranted at the time of delivery.
  • Out-of-warranty inspections, repairs, and no-fault returns are subject to a minimum service charge.
  • Repairs carry a 3-month warranty unless covered by the original product guarantee.

7. Title and Ownership

  • Title to all goods remains with EUCA Technologies until payment is received in full.
  • EUCA reserves the right to retrieve unpaid goods from the delivery location if payment defaults.

8. Limitation of Liability

  • EUCA Technologies shall not be liable for any indirect, incidental, or consequential loss arising from delayed delivery, product defects, service failure, or cancellation.
  • Our total liability is limited to the cost of repair, replacement, or refund of the affected goods or services.

9. International Orders

  • No letters of credit are accepted. Orders are processed on a pre-payment basis.
  • Clients must request any required documents (e.g. COO, conformity certificates) in advance. Additional charges may apply.

10. Governing Law

  • All transactions are governed by the laws of the Republic of South Africa, irrespective of the delivery location.
